Introduction
These Terms & Conditions ("Terms") are an agreement between you ("you" or "your") and Chapter, which is operated by Louvigny Solutions Inc. and its affiliated entities, including CAIO Institute ("Chapter," "we," "our," or "us").
The "Agreement" means these Terms, our Privacy Policy and any documents or policies these Terms expressly incorporate by reference.
The Agreement governs:
- your access to and use of our websites, including the Publishing AI and Marketing AI offer and order pages;
- the Publishing AI, Publishing + Marketing AI and Marketing AI plans, and the software, features and services they include (the "Services").
Legal Agreement
Please read these Terms carefully before you access or use any of our Services, because they are a binding legal agreement.
You accept and agree to be bound by this Agreement, without conditions, when you do any of the following:
- access or use any part of our websites or Services;
- purchase any plan or service we offer;
- check the box or click to accept these Terms on an order page, or anywhere else that option is offered.
If you do not agree, you must not access or use any part of our websites or Services.
THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 21). THEY WAIVE YOUR RIGHT TO A COURT HEARING, YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, UNLESS YOU OPT OUT WITHIN 30 DAYS. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES, UNLESS OTHERWISE SPECIFIED BELOW.
We may update and change this Agreement from time to time by posting updates to our websites. It is your responsibility to check this page periodically.
Changes take effect as soon as they are posted, or on the date stated in any notice we provide. If you keep using the Services after changes are posted, you agree to be bound by the modified Agreement. If the modified Agreement is not acceptable to you, you must stop using the Services.
1. Eligibility & Age Requirement
By purchasing or using the Services, you represent and warrant that:
- you have the full right and authority to enter into this Agreement;
- you are at least 18 years old and at least the age of majority in your jurisdiction;
- you meet all the eligibility requirements in these Terms.
The Services are offered to Chapter customers. They work for fiction and nonfiction text-based books, written in Chapter or not. Picture books are not supported. We may limit access to or sale of the Services to any person, region or jurisdiction, at our sole discretion.
2. The Plans & Services
Publishing AI is an AI-assisted publishing system that prepares your finished manuscript for publication. Marketing AI is an AI-assisted marketing system that builds and runs your book's marketing with your approval. You choose one of three plans.
- Publishing AI:
- unlimited books published during the Plan Term (see Section 9);
- AI editing and proofreading;
- a cover for every book, including the full wrap (front, spine and back);
- paperback, hardcover and Kindle formats, and 3 ISBNs per book;
- audiobook editions;
- keyword, category and listing preparation;
- pre-publishing checks;
- a guided walkthrough to publish on Amazon, with the option to set your book up in 45,000+ stores and libraries;
- early readers for first reviews;
- VIP support, including a live call with a support agent when you want help publishing.
- Publishing + Marketing AI:
- everything in Publishing AI;
- Marketing AI for every book, as described below.
- Marketing AI (also sold on its own, for books already published):
- an author and book page, built and hosted for you;
- professional author photos made from photos you provide, with no photoshoot;
- a one-page press kit;
- a Bestseller Launch Plan and an Amazon category plan;
- personalized pitches written in your voice, to podcasts, press, stages, partners and bookstores: we aim for at least 100 to start, depending on your book's genre or niche, and you can run new pitch campaigns each month during the Plan Term;
- a year of social media posts drawn from your book, with optional auto-posting;
- one dashboard for every reply;
- priority support and onboarding.
The exact features, quantities and formats are the ones described for your plan on the order page at the time of purchase.
What is not included:
- writing your book (writing new books in Chapter uses your Chapter writing credits);
- paid advertising or ad spend;
- picture books;
- any service not described in your plan.
Additional services may be offered under a separate agreement and for an additional fee.
3. Your Responsibilities
To use the Services, you agree to:
- provide your manuscript and any information, photos, bio and materials we reasonably need, and make sure they are truthful and accurate (for Marketing AI, your book is all we need to get started);
- review what the Services prepare and either approve it or give clear, specific feedback;
- approve publishing files, pitches and posts before they go out (Marketing AI never sends or posts anything without your approval, unless you set it up to run fully automatically);
- comply with all applicable laws, and with the policies of the platforms your book is published on.
You represent and warrant that:
- you own or have the rights to everything you give us, including your manuscript, images and quotes;
- your book does not infringe anyone's copyright, trademark, privacy or other rights;
- your book is not defamatory or otherwise unlawful.
You are solely responsible for the content of your book, including its accuracy and any professional, medical, legal or financial claims it makes.
You are also responsible for acting on the opportunities that come from the Services, such as interviews, bookings and inquiries, and for running your own business.
Timelines depend on your participation. Delays in your materials, feedback or approvals delay delivery. They do not extend the Plan Term (see Section 9).
4. Your Amazon & Other Accounts
Amazon's rules do not allow us to upload your book for you. Your book is published through your own Amazon KDP account. Publishing AI prepares everything and walks you through each step, and a support agent can join you on a live call to do it with you.
Your Amazon KDP account and any other publishing, retailer, payment, social media or third-party accounts you use are owned and controlled by you. You are responsible for keeping them secure and in good standing, and for the information you enter in them. Chapter is not responsible for anything that happens in or to those accounts.
If you set Marketing AI to run fully automatically, you authorize it to send pitches and publish posts in your name without asking for each approval. If you connect a social media account, you authorize us to post to that account. You can switch back to approving each item, or disconnect an account, at any time.
5. Publishing Platforms & Third Parties
Parts of the Services rely on third parties we do not control, including:
- Amazon and other retailers;
- print, distribution and library networks;
- ISBN agencies;
- media outlets, podcasts, event organizers and partners;
- social media platforms;
- AI, hosting and payment providers.
These third parties set their own rules, review times, pricing and approval decisions, and they may reject, delay, change or remove a listing, post or reply. We will follow their requirements and help you resolve issues, but we are not responsible for their decisions.
"Live in 24 to 72 hours" refers to the processing time Amazon usually takes once everything is submitted. Amazon sets that time, and it can be longer.
Pitches go to hosts, editors and organizers who decide for themselves whether to reply. Coverage, bookings and replies are not guaranteed.
6. AI-Generated Content
The Services use artificial intelligence to suggest edits, design covers, write listings, pitches and posts, and create author photos. AI output can contain errors or results you don't want.
- You review and approve AI output before it is published or sent, and you are responsible for what you approve.
- You are responsible for answering any AI-content disclosure questions that Amazon or another platform asks when you publish.
- Similar prompts can produce similar output for different customers. We do not guarantee that AI output is unique.
Amazon allows books written with AI. What it removes is low-effort AI spam and copies of existing books. You agree not to use the Services to publish that kind of content.
7. Bestseller Launch Plan
The Bestseller Launch Plan is a step-by-step plan that you carry out, with the messages written for you. It is not a done-for-you launch.
We do not buy copies of your book, arrange paid or incentivized reviews, or take any other action to manipulate sales rankings. We provide early-reader and review-request tools, and we can run that campaign for you, but every review is left freely by a real reader. We never offer fake or paid reviews. Retailers such as Amazon prohibit these practices and may suspend accounts that use them.
You are responsible for how you run your launch and for following each retailer's policies. We do not promise any bestseller status, category ranking or badge.
8. Deliverables, Revisions & Approvals
Publishing AI. You can edit any chapter, run the AI editing and proofreading, and regenerate covers by saying what to change, before anything is formatted or published. Once you approve your final manuscript, cover and publishing files, they are prepared for publishing as approved. You can download your print-ready files, Kindle file and covers.
Marketing AI. Once you upload your book, Marketing AI builds your author page, photos, press kit, launch plan and first content in about 7 days. Outreach then runs during the Plan Term. Approving pitches and posts takes just a few minutes a day. Timeframes we give are good-faith estimates.
Acceptance. After a Marketing AI deliverable is delivered, you have 30 days to review it and request revisions. If you do not send us a revision request or written notice of non-acceptance within those 30 days, the deliverable is deemed accepted.
9. Plan Term & Renewal
Plan Term. Your plan runs for twelve (12) months (the "Plan Term"). You pay for your plan when you purchase it. The Plan Term starts on the date of your purchase or, if you ask us to wait until your book is ready, on a later start date we confirm with you in writing. A later start date moves when your 12 months begin. It does not delay or change your payment, including any Split-It installments.
At the end of the Plan Term, the Services for that term are considered fully delivered. No refund, credit or extension is owed for any part of the Services not used during the Plan Term, including books not published or pitches not sent because of delays on your side.
Your books stay live. Books you published during the Plan Term stay live after it ends, and the files you downloaded stay yours.
Renewal. You can renew your plan for another twelve (12) months. Your renewal price stays at the rate you first paid for as long as you keep renewing, even if the public price goes up. If your order page shows that your plan renews automatically, you authorize us to charge that rate to your payment method at the start of each new Plan Term, unless you cancel before the renewal date (see Section 22).
Any extension of the Plan Term is at our sole discretion and must be confirmed by us in writing.
10. Order Placement, Acceptance & Payment
We accept your order only once we have received your payment, or your first installment and an approved payment plan. Your order confirmation does not by itself mean we have accepted your order.
We may require additional information, and we may cancel or limit any order. If we cannot deliver a plan and you do not want a substitute, we will cancel your order and refund the payment for that order.
Payment. You choose one of two ways to pay on the order page:
- Pay in full: you pay the full plan price at checkout.
- Split-It: you pay the plan in 12 monthly installments with your credit card, through our payment partner Splitit. You pay the first installment today, then the same amount each month for 11 months.
Both options include the same Services. The pay-in-full price is lower than the total of the 12 installments, and it applies only when the full amount is paid at checkout.
How Split-It works. Splitit places a temporary authorization on your card for the remaining balance. It is not a charge, and there is no credit check, interest or fee from us. Your card must have the full amount available. The Split-It form shows the total of the 12 installments; that total is not charged today. Splitit's own terms also apply to your payment plan.
Automatic installments. If you choose Split-It, you authorize the monthly installments to be charged automatically to the card you used until the plan is paid. You agree to keep that card valid until then.
The full plan price is owed once you start. The remaining installments are not optional and do not depend on how much you use the Services. If an installment fails or is disputed, we may pause the Services until it is received.
Currency. All prices and payments are in U.S. dollars.
By submitting payment information, you represent that:
- you are authorized to use the payment method;
- the information you provide is complete and accurate;
- sufficient funds or credit exist.
You are responsible for any card or bank fees. If your bank or card issuer reverses a charge, we may bill you directly and collect payment by another method.
11. Pricing
Plan prices are posted on our websites. The prices shown to Chapter clients are client prices and may go up when Publishing AI opens to the public. Promotional pricing may be available for a limited time and may change without notice.
We may discontinue or modify plans and prices at any time without notice, and without any obligation to you. Changes do not affect orders already paid, or the locked renewal rate in Section 9.
We do not warrant that descriptions or pricing are always accurate, complete or error-free.
12. Publishing Guarantee & Satisfaction
Publishing guarantee. We guarantee that you can publish your book. Pre-publishing checks catch problems before Amazon sees them, and if Amazon rejects your files we will fix them and support you until your book is live.
This guarantee does not apply if:
- Amazon or another platform has suspended or terminated your account before;
- your book violates the platform's content policies or the law, or infringes someone else's rights (see Section 16).
Satisfaction. If a cover, file or Marketing AI deliverable in your plan isn't right, we will rework it until you are satisfied with it, at no extra charge, during the Plan Term.
These promises cover the deliverables in your plan. They do not cover results (see Section 14), and they are rework promises, not refund promises. They are separate from the refund terms in Section 13.
13. Refunds
You have a three (3) day right of rescission: you may cancel within three (3) calendar days of your first payment. After that period, any refund is at our discretion.
Because the Services are digital and work begins right away, we may refuse the three-day right to cancel if:
- you have uploaded a manuscript or generated any assets; or
- you have received and used any free, bonus or promotional credit or service in connection with a special offer.
If you validly cancel within the rescission period, we will return any payments you made under that sale within ten (10) days, and cancel any remaining Split-It installments.
All cancellation requests must be made in writing by email to support@chapter.pub. You can also contact us at that address with any questions about the refund policy that applies to you.
14. No Guarantee of Results
Beyond the publishing guarantee in Section 12, we do not and cannot guarantee any specific result, including:
- book sales, royalties, reviews, rankings or bestseller status;
- media coverage, podcast bookings, speaking invitations or replies to pitches;
- clients or income.
Any examples, testimonials or figures shown reflect the experiences of specific clients. Every story is different. They are not a promise or projection of your results.
Outcomes depend on many factors outside our control, including your book, your market, your participation and your follow-through.
15. Intellectual Property & Ownership
What you own.
- Your manuscript and your book remain yours, with 100% of the rights.
- Your book is published under your name, and we take no royalties from it.
- Your ISBNs are in your name. The publisher of record is a separate publisher, not Chapter, so your book is not tied to us. You may use your own ISBNs instead, at the same price.
- Once you have paid in full, the covers, files and Marketing AI assets created for your book are yours, including after your plan ends.
What you allow us to do. You grant us a non-exclusive license to use your manuscript, name, likeness, photos and materials as needed to deliver the Services. This includes preparing, publishing, distributing and promoting your book and the assets we build for you.
What we keep.
- The Chapter software, Publishing AI and Marketing AI, and any tools, templates, systems and know-how we use to create the deliverables.
- All aspects of our websites, which are protected by copyright, trademark and other intellectual property laws.
- The Chapter name and logo, which are our proprietary marks. Nothing in this Agreement grants you the right to use them.
We may use general, non-identifying learnings to improve our Services.
16. Content Standards & Prohibited Uses
We may decline to publish or promote, or may stop working on, any content that we reasonably believe:
- is unlawful, infringing, defamatory, hateful or deceptive;
- would be rejected by the platforms we publish on;
- would expose Chapter or others to legal risk.
You agree not to use our websites or Services in any unlawful manner or in any way harmful to Chapter. This includes:
- any dishonest or unethical practice;
- hacking, scraping or attacks on our systems;
- introducing viruses or malicious code;
- infringing any third party's intellectual property or other rights;
- sending spam or unsolicited communications;
- transmitting offensive, defamatory or unlawful content;
- impersonating Chapter or any other person;
- reverse engineering our software or tools;
- sharing your account, or reselling the Services;
- gathering intelligence for a competing offering.
You are solely responsible for making sure your own communications, including the launch messages you send, comply with anti-spam and other applicable laws.
17. Confidentiality & Privacy
Both parties may have access to the other's confidential information. Each party agrees to keep it confidential and not to disclose it to third parties without prior written consent, except as required by law.
Your manuscript and materials are used only to deliver your Services and are never sold. Before your book is published, we share them only with the providers who need them to do the work.
Marketing AI pitches go out in your name and voice, with no mention of Chapter.
Your personal information is governed by our Privacy Policy, which is incorporated into this Agreement.
18. Testimonials & Reviews
Any review or testimonial you provide must be truthful and honest, and must reflect your own experience.
By providing one, you grant Chapter a royalty-free, worldwide, perpetual, non-exclusive, irrevocable license to use it, in whole or in part, for advertising and promotional purposes. This license also covers your name, city, state and book title.
We may correct grammatical errors in and shorten testimonials before using them. We have no obligation to use, respond to or compensate you for any testimonial.
Testimonials represent the unique experience of the people who give them and may not reflect the experience you will have.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify Chapter and hold it harmless. This covers Chapter's officers, directors, agents, affiliates, licensors, successors, representatives and employees.
It applies to any and all claims, liabilities, losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of:
- your breach of this Agreement;
- the content of your book or materials, including any claim of infringement or defamation;
- content you approved, or that went out because you set Marketing AI to run automatically;
- your violation of any law or third-party right.
20. Disclaimer of Warranties & Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITES, SOFTWARE, SERVICES AND ALL CONTENT, INCLUDING AI-GENERATED OUTPUT, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE. WE DO NOT WARRANT THAT OUR WEBSITES OR SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY OR ERROR-FREE. BEYOND THE GUARANTEES IN SECTION 12, WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY PARTICULAR RESULT. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
IN NO EVENT SHALL CHAPTER OR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES. THIS APPLIES UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WHERE APPLICABLE LAW DOES NOT ALLOW THESE LIMITATIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
21. Dispute Resolution & Arbitration
Informal resolution first. If you have a complaint, dispute or controversy, you agree to first contact us at support@chapter.pub to try to resolve it informally.
Binding arbitration. Any dispute that cannot be resolved informally within 120 days will be resolved through binding and final arbitration rather than in court. You and Chapter both waive any right to a jury trial.
YOU ACKNOWLEDGE AND AGREE THAT YOU MAY ONLY BRING A CLAIM IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING.
How arbitration works.
- A single arbitrator conducts the arbitration under the applicable rules of a recognized arbitration body, in English.
- It takes place at a mutually agreed location or by telephone.
- The arbitrator's decision is final and binding, and may be enforced in any court of competent jurisdiction.
- Each party bears its own additional fees, costs and expenses, except as the arbitration rules provide.
Nothing in this section prevents either party from:
- seeking relief from a government agency;
- bringing a qualifying claim in small claims court;
- seeking provisional injunctive relief from a court.
Governing law. Except as provided otherwise, the substantive laws of the Province of Quebec, Canada, apply, without regard to conflict-of-law principles. Any claim found to be excluded from arbitration must be brought exclusively in the courts of Quebec, Canada.
This section survives the end of your relationship with Chapter.
30-DAY RIGHT TO OPT OUT: YOU MAY OPT OUT OF THE ARBITRATION AND CLASS ACTION WAIVER PROVISIONS BY SENDING WRITTEN NOTICE OF YOUR DECISION TO SUPPORT@CHAPTER.PUB WITHIN THIRTY (30) DAYS OF ACCEPTING THESE TERMS. IF YOU OPT OUT, WE WILL ALSO NOT BE BOUND BY THEM.
22. Cancellation & Termination
Cancel any time. You can cancel your plan at any time by emailing support@chapter.pub. Cancelling stops renewal. Your access continues until the end of the current Plan Term, your published books stay live, and no partial refund is owed for the rest of the term (except under Section 13). If you pay with Split-It, cancelling does not cancel the remaining installments for the current Plan Term.
For cause. Either party may terminate this Agreement if the other party materially breaches it and fails to cure the breach within 30 days of written notice.
Suspension. We may immediately suspend or terminate the Services if we reasonably believe you have violated this Agreement or any law, including through a chargeback on a valid charge.
What you still owe. On termination, you remain responsible for any outstanding payments for the current Plan Term.
23. General Terms
Force majeure. We are not responsible for any delay, damage or failure caused by events beyond our reasonable control. This includes platform or third-party outages, AI provider outages, power or internet failures, natural events and government restrictions.
Assignment. We may assign our rights under this Agreement at any time, without notice to you. You may not assign your rights without our express written consent.
Electronic communications. When you communicate with us electronically, including by email or through approvals you send in the platform, those communications, notices and agreements have the same force and effect as if they were in writing and signed.
No waiver. No failure or delay by us in exercising any right operates as a waiver. A waiver is effective only if it is in writing and signed by us.
Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions stay in full force. The affected provision is modified or severed only to the extent necessary.
Entire agreement. This Agreement is the entire understanding between the parties. It includes the documents incorporated by reference and any separate written agreement you sign with us, and it supersedes all prior agreements and proposals, written or oral.
If a separate signed agreement conflicts with these Terms, the signed agreement prevails. Ambiguities are not to be construed against the drafting party.
